Effective Date: September 1, 2026

These United States Sales Terms and Conditions apply to commercial equipment sold by North Pro Equipment LLC, a Nevada limited liability company (“Seller”), located at 5136 W Patrick Lane, Suite 100, Las Vegas, Nevada 89118. “Customer” means the person or entity purchasing equipment from Seller.

1. Commercial Sales and Acceptance 

These Terms apply exclusively to equipment purchased for business, commercial, institutional, governmental or agricultural purposes and not primarily for personal, family or household use. 

Customer accepts these Terms by signing a quote or agreement, issuing a purchase order, paying a deposit or other amount, accepting delivery, or otherwise instructing Seller to proceed. Customer represents that the individual accepting the transaction has authority to bind Customer. 

 

2. Contract Documents and Priority 

The accepted quote, these Terms and any signed Equipment Purchase Agreement constitute the agreement between Seller and Customer. 

Additional or conflicting terms contained in a Customer purchase order, procurement document, vendor portal or other communication are rejected unless expressly accepted in writing by an authorized representative of Seller. If a signed Equipment Purchase Agreement applies, that agreement prevails in the event of a conflict. 

3. Quotes, Pricing and Availability 

A quote is valid until the expiry date stated on it. After that date, pricing, production capacity, equipment availability, specifications and delivery charges are subject to review. 

Seller may correct clerical, mathematical, specification, tax or pricing errors before accepting an order. Product availability and production capacity are not guaranteed until Seller receives the required deposit and confirms the order. 

4. Taxes and Government Charges 

Prices exclude applicable sales tax, use tax, excise tax, duties, tariffs, registration fees, permits and other governmental charges unless expressly included. 

Customer must provide a valid resale or exemption certificate before invoicing to receive tax-exempt treatment. Customer remains responsible for taxes or charges later assessed in connection with the transaction, except taxes imposed on Seller’s net income. 

5. Deposit and Payment 

Unless otherwise stated in writing, a non-refundable deposit equal to 50% of the total order is required to confirm the order and secure the selected production priority. 

The remaining balance must be received in cleared funds before the equipment is released, shipped, delivered or picked up unless different payment terms are expressly stated in the quote or a signed Equipment Purchase Agreement. 

Customer is responsible for wire, banking and payment-processing fees. Approved overdue balances accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, together with reasonable collection costs and attorneys’ fees. 

6. Production Priority and Estimated Lead Time 

The applicable Standard, Expedited or Rush production priority and estimated lead time are stated on the quote. The estimated lead time begins only after Seller receives all required items listed below. 

  • The required deposit in cleared funds; 
  • Written approval of the final specifications; 
  • All required selections, information, drawings and approvals; and 
  • Any Customer-supplied materials required to begin production. 

Lead times and completion or delivery dates are estimates unless expressly guaranteed in a signed written agreement. Expedited and Rush charges are non-refundable fees for priority scheduling and do not guarantee a specific completion or delivery date; missing an estimated date does not entitle Customer to a refund of the priority charge. 

7. Specifications and Customer Approval 

Customer is responsible for reviewing and approving the configuration, dimensions, electrical requirements, temperature application, accessories, delivery information and other specifications stated on the quote. 

Product images, renderings, brochures and marketing materials are illustrative and do not override written specifications. Custom-manufactured equipment is subject to reasonable manufacturing and dimensional tolerances. 

8. Component and Material Substitutions 

Seller may substitute commercially equivalent components or materials when reasonably necessary because of availability, supply interruption or discontinuation, provided the substitution does not materially reduce the intended function or overall quality of the equipment. 

Seller will obtain Customer’s written approval before making a substitution that materially changes the equipment’s intended application, electrical requirements or principal operating specifications. 

9. Changes and Change Orders 

Customer-requested changes after acceptance require Seller’s written approval and may result in additional charges, a change-order fee and an adjusted completion date. 

Seller may require payment for an approved change before performing the additional work. Verbal requests, discussions or instructions do not modify an accepted order unless confirmed in writing by Seller. 

10. Cancellation 

Orders may not be cancelled without Seller’s written consent. The deposit remains non-refundable, and Customer is responsible for completed work, labor, purchased or committed materials, special-order components, supplier cancellation charges and other non-recoverable costs exceeding the deposit. 

If Seller cancels an order for reasons within Seller’s control and not caused by Customer, Seller’s liability is limited to returning amounts paid for equipment not supplied. 

11. Freight, Delivery and Site Requirements 

Delivery pricing is based on the information provided by Customer and transportation rates available when the quote is issued. 

Customer is responsible for additional costs resulting from inaccurate information, restricted access, waiting time, unsuccessful delivery, re-delivery, special permits, escorts, Customer delays, additional carrier services, or an unprepared or unsafe delivery site. 

Unless expressly included in the quote, Customer is responsible for suitable site access, unloading machinery, unloading personnel, permits and a safe unloading area. Delivery performed by a third-party carrier remains subject to the carrier’s operating and safety requirements. 

12. Risk of Loss and Title 

For Customer pickup or shipment using a Customer-selected carrier, risk of loss transfers when the equipment is released to Customer or the carrier. 

When Seller arranges delivery, risk of loss transfers when the equipment arrives at the stated destination and is made available for unloading. Customer is responsible for damage caused during unloading or after risk transfers. 

Title remains with Seller until all amounts owing have been paid in full. To the extent title retention is treated as a security interest, Customer grants Seller a purchase-money security interest in the equipment and its identifiable proceeds and authorizes Seller to file UCC financing statements reasonably required to protect that interest. 

13. Delayed Pickup and Storage 

Customer must accept delivery or pick up completed equipment when notified that it is ready. 

Beginning on the eleventh calendar day after notice, Customer will be charged storage of $50 per calendar day per unit, together with any additional handling, insurance or rescheduling costs reasonably incurred by Seller. 

A Customer delay does not postpone payment obligations. The warranty period begins on the earliest of delivery, Customer pickup, or the eleventh calendar day after Seller notifies Customer that the equipment is ready. 

14. Inspection and Transportation Damage 

Customer must inspect the equipment promptly at pickup or delivery. Visible transportation damage or shortages must be photographed, described on the carrier’s delivery receipt and reported to Seller before the carrier leaves whenever reasonably possible. 

Concealed transportation damage must be reported promptly after discovery so a carrier claim can be pursued. Failure to document carrier damage may limit recovery from the carrier but does not waive a valid claim under Seller’s express limited warranty. 

15. One-Year Limited Parts-Only Warranty 

Seller provides a one-year limited warranty against defects in Seller-supplied materials and workmanship. Seller’s sole obligation is limited exclusively to providing replacement parts or materials that Seller determines are defective. 

This warranty does not include diagnostics, labor, technician travel, mileage, accommodations, transportation, towing, freight, removal, reinstallation, equipment rental, on-site service or other related expenses. 

Seller has no obligation to dispatch a technician or provide on-site warranty service. Customer must obtain Seller’s written authorization before purchasing replacement parts or performing work for which reimbursement is requested. 

16. Third-Party Components 

Refrigeration equipment, electrical components, axles, tires, appliances, controllers and other third-party components are covered solely by their respective manufacturer warranties, if any. 

Seller will reasonably assist Customer in identifying the applicable manufacturer warranty but does not expand, replace or guarantee a third-party warranty. Seller does not provide labor, travel, diagnostics, removal, reinstallation or freight coverage for third-party components unless expressly stated in writing. 

17. Warranty Claim Procedure 

Warranty claims must be submitted in writing to Warranty.USA@NorthProEquipment.com and must include all information listed below. 

  • Customer’s legal or business name; 
  • Quote or invoice number; 
  • Equipment identification number, VIN or serial number; 
  • A detailed description of the reported issue; 
  • Photographs or videos showing the issue; and 
  • Diagnostic information reasonably available to Customer. 

Customer must provide any additional information reasonably requested by Seller and permit a reasonable opportunity for inspection. Unauthorized repairs, alterations or replacement purchases are not reimbursable. 

Providing a replacement part does not restart or extend the original warranty period. Replacement parts are covered only for the remainder of the original warranty period. 

18. Warranty Exclusions 

Warranty coverage does not apply to the following conditions or events: 

  • Normal wear, cosmetic damage or routine maintenance; 
  • Corrosion or deterioration caused by environmental exposure; 
  • Accident, collision, theft, vandalism, abuse or misuse; 
  • Overloading, improper towing or improper weight distribution; 
  • Inadequate maintenance, blocked airflow or improper loading; 
  • Excessive or prolonged door openings; 
  • Unauthorized modifications, repairs or replacement parts; 
  • Operation contrary to Seller’s or the manufacturer’s instructions; 
  • Incorrect voltage, amperage, phase or frequency; 
  • Inadequate, unstable or improperly connected electrical supply; 
  • Power surges, voltage fluctuations or utility interruptions; 
  • Improper generators, adapters or extension cords; 
  • Refrigerant loss resulting from external damage; 
  • Improper site installation or inadequate ventilation; 
  • Extreme environmental or operating conditions; or 
  • Transportation or unloading damage occurring after risk transfers. 

19. Disclaimer of Other Warranties 

EXCEPT FOR THE EXPRESS LIMITED PARTS-ONLY WARRANTY STATED IN THESE TERMS, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLER DISCLAIMS ALL OTHER EXPRESS OR IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THERE ARE NO WARRANTIES THAT EXTEND BEYOND THOSE EXPRESSLY STATED IN THESE TERMS OR AN APPLICABLE THIRD-PARTY MANUFACTURER WARRANTY. 

Used equipment identified as “as-is,” “where-is” or “with all faults” is sold without Seller’s one-year limited warranty unless a separate written warranty is specifically included in the quote or Equipment Purchase Agreement. 

20. Operating Performance 

Temperature performance depends on ambient conditions, initial product temperature, product loading, airflow, door openings, electrical supply, installation and operating practices. 

Seller does not guarantee product pull-down time, temperature recovery time, uninterrupted operation or performance under every environmental condition unless expressly stated in a signed written performance specification. 

Customer is responsible for independently protecting stored products through appropriate temperature monitoring, alarms, insurance and contingency planning. 

21. Customer Responsibilities 

Customer is responsible for providing the required electrical service, wiring, receptacles, connections, ventilation, drainage, site preparation and legally compliant towing equipment. 

Customer must operate, transport and maintain the equipment in accordance with applicable laws, manufacturer requirements, Seller instructions and safe commercial practices. 

Customer is responsible for verifying that its towing vehicle, hitch, braking equipment, licensing, insurance and driver qualifications are suitable for the equipment. 

22. Certifications, Permits and Registration 

Seller will construct the equipment in accordance with the certifications and standards specifically identified on the quote. 

UL, ETL, DOT, state inspection or other approvals are included only when expressly listed. Customer must not represent that equipment holds a certification or approval not identified in Seller’s documentation. 

Customer is responsible for state and local permits, vehicle registration, licensing, inspections, zoning, health-code compliance, utility connections and site-specific requirements unless expressly included in the quote. 

23. Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLER WILL NOT BE LIABLE FOR LOST OR SPOILED PRODUCT, LOST PROFITS, LOST REVENUE, LOSS OF USE, BUSINESS INTERRUPTION, SUBSTITUTE EQUIPMENT, TOWING COSTS, OR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES. 

SELLER’S TOTAL AGGREGATE LIABILITY ARISING FROM AN ORDER, REGARDLESS OF THE LEGAL THEORY ASSERTED, WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO SELLER FOR THE SPECIFIC EQUIPMENT GIVING RISE TO THE CLAIM. 

These limitations do not apply where prohibited by applicable law. 

24. Indemnification 

Customer will defend, indemnify and hold Seller and its owners, officers, employees, contractors and agents harmless from third-party claims, damages, fines, penalties and reasonable legal expenses arising from Customer’s transportation, unloading, installation, modification, operation, storage, resale or misuse of the equipment, except to the extent caused by Seller’s proven gross negligence or willful misconduct. 

25. Delays Beyond Seller’s Control 

Seller is not responsible for delay or nonperformance caused by component shortages, supplier or carrier delays, labor disruptions, severe weather, natural disasters, fire, flood, accident, epidemic, government action, embargo, tariff change, transportation interruption, utility failure or any circumstance beyond Seller’s reasonable control. 

Seller may extend the completion date for the period reasonably required by the delay. If performance becomes commercially impracticable, Seller may propose a reasonable substitution or modification or cancel the affected portion of the order and refund amounts paid for equipment not supplied. 

26. Customer Default and Seller’s Remedies 

Customer is in default if any of the following occurs: 

  • Customer fails to make a required payment; 
  • Customer refuses or unreasonably delays delivery or pickup; 
  • Customer becomes insolvent or enters bankruptcy proceedings; 
  • Customer provides materially inaccurate information; or 
  • Customer otherwise materially breaches the agreement. 

Upon default, Seller may suspend production or delivery, cancel the order, retain amounts permitted under these Terms, recover completed equipment where legally permitted and pursue any other remedies available under law. 

Seller’s rights and remedies are cumulative. A delay in exercising a right does not waive that right. 

27. Binding Arbitration 

Except for collection proceedings, enforcement of Seller’s security interest, repossession, or requests for temporary or emergency injunctive relief, any dispute arising from the transaction will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. 

The arbitration will be conducted by one arbitrator in Clark County, Nevada, in English. The AAA Expedited Procedures will apply whenever the claim qualifies. Judgment on the arbitration award may be entered in any court having jurisdiction. 

The arbitrator may award reasonable attorneys’ fees and costs to the prevailing party. 

EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. 

28. Governing Law 

These Terms and the transaction are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. 

The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provision. The United Nations Convention on Contracts for the International Sale of Goods does not apply. 

Court proceedings permitted under these Terms must be brought in the state or federal courts located in Clark County, Nevada, and each party consents to their jurisdiction. 

29. Export and Cross-Border Use 

Customer is responsible for export documentation, customs clearance, duties, taxes, sanctions compliance and legal use of equipment outside the United States unless Seller expressly agrees otherwise in writing. 

Customer may not export, re-export or transfer equipment in violation of applicable United States laws or trade restrictions. 

30. Prior Chill Out Rentals LLC Transactions 

North Pro Equipment LLC does not assume any warranty, service, refund, payment or other contractual obligation relating to equipment quoted, invoiced or sold by Chill Out Rentals LLC unless North Pro Equipment LLC expressly assumes that obligation in a separate signed written agreement. 

Any claim relating to a prior Chill Out Rentals LLC transaction must be directed to the legal entity identified as the seller on the applicable quote, invoice or purchase agreement. 

31. Assignment 

Customer may not assign an accepted order or its rights under these Terms without Seller’s prior written consent. 

Seller may assign the agreement to an affiliate, successor, financing provider or purchaser of substantially all relevant business assets, provided the assignment does not materially reduce Customer’s express warranty rights. 

32. Formal Notices 

Formal legal notices to Seller must be delivered by certified mail or nationally recognized courier to the address stated below, with a copy sent to Legal.USA@NorthProEquipment.com. 

Email alone constitutes formal legal notice only when Seller acknowledges receipt in writing. Warranty or service claims must be sent separately to Warranty.USA@NorthProEquipment.com. 

33. General Provisions 

These Terms, the accepted quote and any signed Equipment Purchase Agreement constitute the entire agreement and replace prior discussions, proposals, representations and communications concerning the order. 

Amendments must be in writing and approved by an authorized representative of Seller. Electronic signatures, electronic acceptance and electronic records have the same effect as originals. 

If any provision is unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect. Headings are provided for convenience and do not affect interpretation. 

The version of these Terms in effect on the date Customer accepts the quote governs that order. Later website revisions do not retroactively modify an accepted order, and an archived copy of the applicable version is available upon request.
